These Terms govern the use of our products and services.
Note: This is an English translation. In case of discrepancies, the German version (AGB) shall prevail.
These General Terms and Conditions ("Terms") apply to all contracts between Swiss AI Group GmbH ("Provider") and its customers regarding the use of the AI platform offered, including WebUI, mobile applications and API services.
The contract is concluded by acceptance of a written offer or by confirmation of an online order. Verbal side agreements require written form to be valid.
The Provider grants the customer access to its proprietary AI models via WebUI, mobile apps or API according to the chosen service package. The exact service features and Service Level Agreements (SLA) are set out in the order confirmation or a separate agreement.
The customer undertakes:
Remuneration is governed by the tariff agreed between the parties. Invoices are payable in full within 30 days of the invoice date. All prices are exclusive of statutory VAT.
The Provider aims for an availability of its services of 99.95% on annual average, measured according to the criteria set out in the applicable SLA. Planned maintenance windows will be announced at least 48 hours in advance.
The processing of personal data takes place in accordance with our privacy policy and the separately concluded Data Processing Agreement (DPA) under Art. 28 GDPR. The Provider does not use customer data for training purposes.
The Provider is liable without limitation for intent and gross negligence. For slight negligence, the Provider is only liable for breach of essential contractual obligations and only to the extent of the typical, foreseeable damage. Liability for lost profits or indirect damages is excluded to the extent permitted by law.
The contract term is set out in the individual agreement. Unless otherwise agreed, the contract may be terminated with 30 days' notice to the end of the month. The right to extraordinary termination for cause remains unaffected.
These Terms and all resulting contractual relationships are subject to Swiss law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is Zug, Switzerland.
If individual provisions of these Terms are or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a regulation that comes closest to the economic purpose.
